Companies House: Identity Verification for People with Significant Control (PSCs)

Companies House has introduced new identity verification requirements for People with Significant Control (PSCs) as part of changes to UK company law aimed at improving transparency and tackling economic crime.

These changes are relevant to organisations registered as companies, including Community Interest Companies (CICs) and other third sector organisations.

What is a PSC?

A Person with Significant Control (PSC) is someone who owns or controls a company. This may include individuals who:

  • hold more than 25% of shares or voting rights

  • can appoint or remove directors

  • have significant influence over company decisions

In smaller organisations, a PSC may be a founder, trustee or family member with ongoing control or influence.

What’s changing?

PSCs must now verify their identity with Companies House and obtain a personal code. This helps ensure information on the public register is accurate and reduces the risk of fraud.

Identity verification only needs to be completed once, and the same personal code can be used for all roles a person holds.

When does verification need to happen?

All PSCs must provide their personal code within a 14-day period. When this period starts depends on the individual’s circumstances, for example:

  • PSCs who are also directors will be linked to the company’s confirmation statement date

  • PSCs who are not directors will have a set period during their birth month

  • New PSCs will be given a 14-day window after being added to the register

Specific deadlines can be checked on the Companies House register.

How to verify

Identity can be verified:

  • online using the Verify your identity for Companies House service (via GOV.UK One Login), or

  • through an Authorised Corporate Service Provider (ACSP)

Once verified, the personal code must be provided to Companies House using the relevant online service.

Important reminder

  • Personal details must match those held by Companies House before submitting a personal code

  • Providing a personal code as a director does not automatically cover the PSC role

  • Failure to comply may result in penalties
